POSITION: CHIEF LEGAL COUNSEL & COMPANY
SECRETARY –

REPORTS TO: GROUP MANAGING
DIRECTOR & CEO.
DUTY STATION: DAR ES SALAAM.
ROLE PURPOSE STATEMENT:
To
identify, communicate and mitigate legal risks to the business to minimize
undue financial costs.
KEY
ACCOUNTABILITIES / RESPONSIBILITIES
- Draft, negotiate, vet contracts on behalf of the company to protect its interests.
- Ensure disputes are resolved in a manner that safeguards the company’s position.
- Organize and administer subsidiary board meetings to ensure they are efficient and effective.
- Ensure company’s compliance with statutory and regulatory requirements to avoid legal penalties.
- Brief and monitor external counsel to ensure legal representation is effective.
- Prepare proposals and to lobby the Government on pending legislation to protect or improve the business environment for PW.
- Develop effective working relationships with key user departments to ensure their needs are understood and appropriate solutions developed that support business needs.
- Legal counseling and preventive layering so as to ensure legal problems and risks are identified and dealt with before they emerge as significant risks to the business.
- Any other duties as may be assigned by the MD & CEO.

INDICATORS

Not more 5% of contracts are judged as not
fully protective of the business.
- 95% of all disputes resolved receive a
positive evaluation.
- Not more than 5 complaints per year on
board organization.
- 95% of all licenses and filings are
obtained and filed on time
- All external counsel make quarterly
progress reports.
- Timely and efficient organization and
administration of subsidiaries board meetings.
- Timely preparation of detailed briefs/instructions to external counsel, procurement of progress report from external counsel, follow-up on progress of litigation.
- Effective legal advice and opinions on an adhoc basis

KNOWLEDGE, SKILLS,
EXPERIENCE
- Masters degree holder, Advocate of the
High Court of Tanzania with Seven years post qualification experience
preferably in commercial law practice.
- Certified Public Secretary
- Excellent communication skills.
